Register an operation: what each type asks for

Every operation is registered from "Add Operation", on the Operations screen. The first step is almost the same for all types: the date, the document, the comments and the notary details. What changes is the second, because each type does something different to the share capital: create or cancel shares, change their owner, distribute money, reorganize them or exchange them for shares in another company.

On this page

The key point. There isn't a different screen for each type of operation. They all start the same way, with the document details, and differ in who takes part and which shares move. If you know what the operation does to the share capital, you know what it will ask you for.

Where to register it#

In the menu, go to Transactions and open "Transactions List". The "Operations" screen opens, with the list of everything registered. The "Add Operation" button drops down all the types you can register. Choose the one that applies and its form opens.

The same button is also in the shareholder list, with the same menu.

Next to the button you have "Filter: Operation", to see only one type, "Download", to download the list, and a search box by operation and remarks.

The first step: the document#

The first step asks for the same details in almost every type:

  • "Date". It's required. It's the date on which the operation enters the register of registered shares and the one that orders the history.
  • "Add document (optional)". The deed or document that evidences the operation. You can upload it now or later.
  • "Comments". Free text, up to 3,000 characters, for anything you want to note.
  • The notary details. "Notary Name", "Protocol Number", "Notary Town" and "Deed Date", which is the date of the document and may differ from the registration date.

Some types add or remove something:

  • "Capital increase" adds "New shares", the number of shares the resolution approves.
  • "Capital reduction" adds "No. of shares cancelled", and reminds you how many shares the company has today.
  • "Share exchange" adds "Source shares per destination share".
  • "Dividend distribution" and "Other contributions" have no notary details, because they're resolved by the general meeting and aren't executed as a public deed.
  • "Informative Operation" has a single step.

When you're done, click "Next".

What each type does#

The "Add Operation" menu has these entries: "New Shareholder", "Capital increase", "Capital increase AI", "Capital reduction", "Sale and Purchase", "Sale and Purchase AI", "Inheritance", "Gift", "Endorsement", "Transfer", "Split", "Renumbering", "Reclassification", "Dividend distribution", "Other contributions", "Share exchange", "Informative Operation" and "Undo operation".

The second step depends on what the operation does to the share capital:

What it doesMenu typesWhat it asks for
Creates new sharesCapital increase, Capital increase AIEach subscriber ("Select shareholder"), their "New shares", the "Share Class", the "Share premium per share" and the numbering. It ends with "Save capital increase"
Cancels sharesCapital reductionThe "Shareholder Name", the "Share Class", the "No. of shares to cancel" and their range, "From no." and "to no.", with "Validate range". You can "Enter the reduction value per share"
Changes the owner of sharesSale and Purchase, Sale and Purchase AI, Inheritance, Gift, Endorsement, TransferWho transfers, who receives, the "Share Class", how many, their range with "Validate range", and the "Price per share", required in all of them
Distributes moneyDividend distribution, Other contributionsThe total amount and, for dividends, whether withholding applies; no shares move
Reorganizes the share capitalSplit, Renumbering, ReclassificationFor the split, the new nominal value; for the renumbering, whether Sttok or you do it; for the reclassification, which ranges move to which class
Moves shares to another companyShare exchangeThe source class, the "Destination company" and its class, and the exchange ratio
Only records somethingInformative OperationThe name, the date and the participants; it doesn't touch the share capital

In the forms that move shares, except the AI ones, each party is described in a movement: you fill it in, click "Save movement" and it goes to the "MOVEMENTS" list. When they're all there, "Save Operation" registers the whole thing.

"Share exchange"

It's an exchange into another company: the shareholders hand over shares in this company, the source company, and receive shares in the destination company. In the first step you enter "Source shares per destination share", for example 100 → 1. In the second you choose the "Share class in source company", the "Destination company" and the "Share class in destination", and the "Share Price". You can assign categories to all the shareholders and to those left with a residual balance, in the source and in the destination, and tick "Only create shareholders in the destination company". It ends with "Save Operation".

If you tick "Only create shareholders in the destination company", Sttok adds the shareholders to the destination company with their details only, without shares.

"Informative Operation"

It has a single step: the "Operation name", the "Date", the "Participants" ("Select participants" or "Select all shareholders"), the document and the comments. It ends with "Save Operation". It doesn't move shares or money: it records something that happened.

Three menu entries aren't operations like the others:

  • "New Shareholder" opens "Add Shareholder": it adds an individual or a legal entity, with their name, tax ID and email. It doesn't give them shares; they receive them later through a capital increase or a transfer.
  • "Capital increase AI" and "Sale and Purchase AI" are the capital increase and the sale and purchase with deed reading: you upload the document and Sttok proposes the details. We explain it in Fill in an operation by reading the deed.
  • "Undo operation" undoes the last registered operation. More in Correct a registered operation.

Why the filter uses other names#

In the list, "Filter: Operation" groups the registered operations by type, and some are named differently from the add menu. A "Sale and Purchase" may appear as "Purchase / Sale", and "Other contributions" as "Contribution". They're the same operation with two names.

Afterwards: the operation's record#

Each registered operation has its record, with two tabs. "Details" shows who took part, how many shares, their numbering and the amounts, with columns that change depending on the type. "Deeds" holds the operation's documents. At the top you have "Edit", for the document details, "Print" and the "···" menu with "Download details".

Frequently asked questions#

Can I register an operation without the deed?

Yes. The document is optional. You can register the operation with its details and upload the deed when you have it, from the Deeds tab of its record.

What date do I enter in "Date"?

The date on which the operation takes effect in the company. It orders the history and the register of registered shares. The document date goes separately, in "Deed Date".

I chose the wrong type. Can I change it?

What defines an operation isn't rewritten. Read Correct a registered operation: what can be edited, when to undo it and how it's corrected.
